Poland’s largest drug manufacturer, Polpharma, has officially announced a voluntary tender offer to acquire the Romanian pharmaceutical company Biofarm. The Romanian investment funds Longshield Investment Group and Lion Capital, which together control 88.4% of Biofarm’s shares, have already reached an agreement with Polpharma and have committed to selling their stakes. The price offered by the Polish side is 1.379 Romanian lei per share, representing a premium of nearly 15% over the market value of the securities immediately prior to the announcement of the offer.

Investors on the Bucharest Stock Exchange (BVB) reacted positively to the news, with Biofarm’s shares rising by nearly 3% immediately following the announcement. Over the past six months, the company’s market capitalization has risen by over 50%, which analysts say indicates that the market had anticipated such a strategic move.

Biofarm is one of the most profitable and well-established pharmaceutical manufacturers in Romania; for the first quarter of 2026, the company reported a net profit of 32.5 million lei (6.22 million euros) on revenue of over 92 million lei (17.62 million euros). For Polpharma, which generates annual revenue of over 1.1 billion euros, the acquisition is a key element of its strategy to expand its presence in Central and Eastern Europe. The finalization of the deal is subject to approval by the Romanian Financial Supervisory Authority (ASF).
